These Terms and Conditions ("Terms") constitute a legally binding agreement between you and SmartGlass.ae ("SmartGlass," "we," "us," or "our") governing your access to and use of our website and services, including smart glass and PDLC film products offered in the United Arab Emirates.

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using our website or services.

Project Management

Consultations and Site Surveys

Before finalizing any contract, we may conduct consultations and site surveys to assess project requirements. You agree to provide accurate information about your needs and facilitate access to installation sites as necessary.

Proposals and Estimates

All proposals and price estimates provided by SmartGlass:

  • Are valid for 30 days from issuance unless otherwise specified
  • Are subject to adjustment based on actual site conditions encountered during installation
  • May be revised if project specifications change after initial assessment

Project Scheduling

We strive to adhere to agreed-upon project timelines. However, certain circumstances beyond our control (such as supplier delays, weather conditions, or site access limitations) may necessitate schedule adjustments. SmartGlass will not be liable for reasonable delays in project completion.

On-Site Operations

Site Preparation

Before our team arrives, you are responsible for ensuring that the installation site is properly prepared according to our pre-installation guidelines. This may include:

  • Clearing the work area
  • Providing adequate power supply
  • Ensuring structural readiness for installation
  • Obtaining necessary permits or approvals

Worksite Safety

SmartGlass prioritizes the safety of our installation teams. You agree to maintain a safe working environment and address any hazardous conditions promptly. We reserve the right to suspend work if we identify safety concerns until such conditions are remedied.

Protection Against Worker Abuse

Our installation professionals must be treated with respect and dignity. SmartGlass reserves the right to immediately withdraw personnel from sites where:

  • Verbal or physical abuse occurs
  • Unsafe working conditions exist
  • Unreasonable demands are made
  • Workers are subjected to discriminatory treatment

In such cases, project delays resulting from personnel withdrawal will not be attributed to SmartGlass, and additional charges may apply for rescheduling.

Work Hours and Access

Standard installation hours are 8:00 AM to 5:00 PM, Sunday through Thursday. Work required outside these hours must be arranged in advance and may incur additional charges. You agree to provide our team with:

  • Timely access to the worksite
  • Necessary parking facilities
  • Access to utilities (water, electricity)
  • Adequate workspace for equipment and materials

Materials and Equipment

Ownership

All materials delivered to the installation site remain the property of SmartGlass until full payment is received.

Material Handling

Materials for smart glass and PDLC film installations require careful handling. You agree to:

  • Provide secure storage for materials delivered before installation
  • Prevent unauthorized access to materials and equipment
  • Follow any specific storage instructions provided by our team
  • Report any damage to delivered materials immediately

Damage to materials resulting from improper handling or storage will be your responsibility and may result in additional charges.

Payment Terms

Pricing

All prices are quoted in UAE Dirhams (AED) unless otherwise specified and are exclusive of VAT.

Payment Structure

Unless alternative arrangements are made in writing, our standard payment terms are:

  • 40% deposit upon contract signing
  • 50% upon delivery of materials to the site
  • 10% upon project completion and client acceptance

Late Payment Consequences

Failure to make payments according to the agreed schedule may result in:

  • Work stoppage until payment is received
  • Rescheduling fees
  • Storage charges for materials
  • Interest at 1.5% per month on overdue amounts
  • Potential legal action for recovery of unpaid amounts

Order Modifications and Cancellations

  • Modification requests must be submitted in writing and may affect pricing and timeline
  • Cancellation fees apply based on project stage:
    • Before material procurement: 25% of project value
    • After material procurement: 60% of project value
    • After installation begins: 85% of project value

Warranties

Installation Warranty

SmartGlass warrants installation workmanship for a period of one year from completion date.

Product Warranties

Product warranties for smart glass and PDLC films vary by manufacturer. We will provide you with all applicable manufacturer warranty documentation upon project completion.

Warranty Limitations

Warranties do not cover damage resulting from:

  • Improper use or maintenance
  • Unauthorized modifications or repairs
  • Acts of nature (floods, earthquakes, extreme weather)
  • Vandalism or intentional damage
  • Normal wear and tear
  • Failure to follow care instructions

Warranty Claims Process

To make a warranty claim:

  1. Submit your claim in writing with detailed description and photos
  2. Allow SmartGlass reasonable opportunity to inspect the issue
  3. Provide access for repair or replacement as needed

Liability Limitations

Scope of Liability

SmartGlass's total liability for any claims arising from our products or services shall not exceed the amount paid for the specific product or service giving rise to the claim.

Exclusion of Damages

We will not be liable for:

  • Lost profits or business opportunities
  • Indirect, special, or consequential damages
  • Business interruption losses
  • Data loss or compromise
  • Property damage beyond the direct scope of our work

Force Majeure

Neither party shall be liable for delays or failures resulting from circumstances beyond reasonable control, including but not limited to:

  • Natural disasters
  • Public health emergencies
  • Government actions or restrictions
  • Labor disputes
  • Supply chain disruptions
  • Power or telecommunications failures

Client Indemnification

You agree to indemnify, defend, and hold harmless SmartGlass, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your breach of these Terms
  • Your negligence or willful misconduct
  • Information or specifications you provide
  • Site conditions not disclosed to us
  • Third-party claims related to projects we perform for you

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of law principles.

Negotiation and Mediation

Before initiating formal legal proceedings, parties agree to:

  1. Attempt good-faith negotiation to resolve disputes
  2. If negotiation fails, engage in mediation with a mutually agreed mediator
  3. Share mediation costs equally unless otherwise agreed

Jurisdiction

If mediation is unsuccessful, any legal proceedings shall be brought exclusively in the courts of Dubai, United Arab Emirates.

General Provisions

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to the extent necessary to make it enforceable.

Entire Agreement

These Terms constitute the entire agreement between you and SmartGlass regarding the subject matter herein and supersede all prior or contemporaneous communications and proposals.

Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. SmartGlass may assign its rights and obligations under these Terms without restriction.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

Amendments

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Your continued use of our website or services after such changes constitutes your acceptance of the revised Terms.
